1. Definitions

• "Assets": Refers to the game asset pack(s) licensed to you under this EULA, including but not limited to 3D models, 2D textures, audio files, and any associated materials.

• "ByteSumPi LTD": Refers to ByteSumPi LTD, the licensor of the Assets.

• "Final Product": Refers to your completed game, interactive media project, or other application into which the Assets are integrated.

• "Licensee" / "You": Refers to the individual or entity purchasing a license to use the Assets.

• "Team": A group of individuals collaborating on the development of a single Final Product.

2. Grant of License

Upon your purchase of a valid license, ByteSumPi LTD grants you a non-exclusive, non-transferable license to use the Assets, subject to the terms and conditions of this EULA.

3. Intellectual Property

The Assets are protected by copyright and other intellectual property laws. ByteSumPi LTD retains all rights, title, and interest in and to the Assets. Your purchase of a license does not transfer any ownership or intellectual property rights to you.

4. Permitted Use

• Integration into Final Product: You may integrate the Assets into your Final Product.

• Distribution of Final Product: You may distribute the Assets as part of your Final Product, provided that the Assets are embedded or compiled in a manner that prevents end-users from accessing or extracting the original Asset files.

• Team Use:

  • Personal License: A Personal License allows the Assets to be used by a Team of up to five (5) individuals working on the same Final Product.

  • Professional License: A Professional License allows the Assets to be used by a Team of six (6) or more individuals working on the same Final Product.

  • Internal Team Sharing: You may share the Assets with members of your Team solely for the purpose of developing the same Final Product.

• Modification: You are permitted to modify the Assets. Any modified versions of the Assets are still subject to the terms of this EULA.

5. Prohibited Use

• Standalone Distribution: You may not distribute the Assets in their original, uncompiled, or easily extractable form.

• Resale or Sublicensing: You may not resell, sublicense, or redistribute the Assets, either in whole or in part, except as expressly permitted in Section 4.

• Reverse Engineering: You may not attempt to reverse engineer, decompile, or disassemble the Assets.

• Use in Other Asset Packs: You may not use the Assets to create or contribute to the creation of any other asset packs or similar products for distribution or resale.

• Infringing Use: You may not use the Assets in any way that infringes upon the intellectual property rights of any third party or violates any applicable laws.

6. Limitation of Liability

To the maximum extent permitted by applicable law, ByteSumPi LTD shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages arising out of the use or inability to use the Assets, even if ByteSumPi LTD has been advised of the possibility of such damages.

7. Warranty Disclaimer

The Assets are provided "as is" without any warranties, express or implied. ByteSumPi LTD disclaims all warranties, including but not limited to, implied warranties of merchantability and fitness for a particular purpose.

8. Termination

This EULA will terminate automatically if you breach any of its terms and conditions. Upon termination, you must cease all use of the Assets and destroy all copies of the Assets in your possession or under your control.

9. Governing Law

This EULA shall be governed by and construed in accordance with the laws of Scotland. Any dispute arising out of or relating to this EULA shall be subject to the exclusive jurisdiction of the Scottish courts.

10. Entire Agreement

This EULA constitutes the entire agreement between you and ByteSumPi LTD concerning the Assets and supersedes all prior or contemporaneous agreements, understandings, or representations, whether oral or written.

11. Severability

If any provision of this EULA is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
